Q: Now that Passport Potash (PPI) has entered into an agreement to acquire 100% of North American Potash Developments for cash and shares ($2.7 million left to be paid and 525K shares left to provide) will the company definitely need to do financing?
Also is it normal for an agreement to talk about "bonus" money paid to a company (North American Potash) in the event PPI transfers/sells to someone else?
3.9 million tonnes of measured KCl. Sells for about $400 a tonne. That's $1.5 billion. About 172 million shares. So about $8/share.
Indicated is 37 million tonnes, or about a 10x increase in above values.
What are the errors/dangers in thinking/calculating this way?
Even with share dilution from financing, at 20 cents this seems like an undervalued company?

"we conducting two concurrent rights offerings because we have two classes of shares: common shares of McEwen Mining ("Common Shares"); and shares of Exchange Co. that are exchangeable on a 1-for-1 basis into Common Shares ("Exchangeable Shares"). The Rights Offerings will provide that holders of Common Shares and Exchangeable Shares will participate on an equal and proportional basis with other holders of the same class of shares in purchasing additional shares of the same class of shares at a considerable discount to the current listed price."

When a parent company plans on selling a smaller company it has a controlling position in on the open market, or spinning out the smaller company's shares to its shareholders (ie pbg and pbn), would it make sense for that parent company's management to first privately solicit offers for that smaller company?

Q: My question is on LEG - legecy oil again. They just released some drill activity - which seems positive - however, I am always skeptic about these NR as they can 'spin' the results. They will be reporting their financials on Nov. 8th - without asking to much from you - in terms of you educating me - what should I be looking for? How do I access the results?
