BN qualifies on all metrics except one that is subjective. The index committee only chooses US companies, and with BN still firmly embedded in Canadian indices, the committee may see its New York office as really one of convenience and decide it is really a Canadian company. Last year the committee specifically excluded BAM from inclusion.
