US$65m = Can$90m

divided by 113m shares = .79/share payout to LIS shareholders

Is this an accurate guess or do 32m (I think) warrants and options need to be factored in such that $Can90m/113 + 32m shares = .62/share payout

What is your best guess as to the final share price value paid to Lis shareholders?

Note the transaction is an asset sale, and not the sale of the company via a share acquisition. The price is US$65 million. Thus, the warrants play no role in the transaction.
